(tax code/VAT number 02850600228, with registered office in Strembo (TN), Via Fuss n. 6), which publishes it on the digital stores, and operated by HOME KEY ITALIA FACTORY s.r.l. (also the "Operator"), which provides the service and is the User's sole counterparty under these Terms;
  • "Operator": HOME KEY ITALIA FACTORY s.r.l., with registered office in Strembo (TN), Via Fuss n. 6, Italy, tax code/VAT number 02850610227, e-mail assistenza@homekeyitalia.it, certified e-mail (PEC) homekeyitaliafactory@pec.it;
  • "User": any person who registers with and accesses the Platform;
  • "Client or Owner": the User — a private individual and/or legal entity and/or accommodation business — who uses the Platform to search for and request the performance of a service offered by the Provider;
  • "Provider or Keeper": the User who uses the Platform to offer and promote their services;
  • "Service": the work offered by the Provider through the Platform and requested by the Client;
  • "Service Contract": the contractual relationship arising between the Client and the Provider as a result of the acceptance of a service request through the Platform;
  • "Account": the personal profile created by the User upon registration;
  • "Content": any information, text, image, data or material published by the User on the Platform.

2. Purpose and nature of the Platform

2.1. The Platform acts exclusively as a digital intermediary between the demand for and supply of services, putting Clients and Providers in contact with each other, within the meaning and for the purposes of Article 1754 of the Italian Civil Code, and remains a third party in relation to Users.

2.2. The Platform is not bound to any of the Users by any relationship of collaboration, employment, agency or mandate, and does not act in the exclusive interest of either party.

2.3. The Platform's activity is limited to putting the Provider and the Client in contact with each other, in order to facilitate — if the parties consider it appropriate — the conclusion of the Deal.

2.4. The Operator is not a party to the contract concluded between Clients and Providers, does not physically perform the services and assumes no liability for their performance, quality, conformity or outcome, unless expressly agreed otherwise in writing.

2.5. The Operator does not guarantee the continuous availability of Providers for specific categories of service, nor that the User will achieve any particular result.

3. No agency and no exclusivity

3.1. The Platform has no power to represent any of the Users, nor may it validly bind them towards third parties.

3.2. The Platform does not operate on an exclusive basis in favour of any User and remains free to put them in contact with a range of counterparties present on the market.

3.3. No provision of these Terms may be construed as conferring on the Platform any power to negotiate, amend or conclude the Deal in the name and on behalf of a User.

Art. 4. Activities carried out by the Platform

4.1. The Platform:

a) collects the requests and availability notified by Users; b) enables mutual contact between Provider and Client; c) provides IT tools for communication, exchange of quotes and management of requests; d) handles payments for the service and the fee accrued by the Platform, as further governed by Articles 17, 18 and 19 below.

4.2. The following are excluded from the Platform's activity:

a) the negotiation of the economic and legal terms of the Deal; b) any assessment of the merits or convenience of the Deal for the Users; c) the performance, control or supervision of the service covered by the Deal; d) any obligation to achieve a result beyond putting Users in contact with each other.

Art. 5 – Transparency of the Platform's role

5.1. Users declare that they were informed, before using the service, that the Platform acts as a third-party and impartial intermediary, and not as agent, representative or attorney of any of them.

5.2. Users declare that they know and accept that the Platform will receive a fee from both of them, as provided for in Article 17.

6. Access and registration

6.1. Access to the Platform's services is subject to registration and the creation of an Account, by completing the registration form and accepting these Terms.

6.2. Upon registration, the User declares:

  • that they have the legal capacity to enter into the contractual relationship;
  • that the data provided are true, complete and up to date;
  • where acting on behalf of a business or entity, that they have the relevant powers of representation.

6.3. Upon registration, the User declares and warrants the truthfulness and completeness of the data provided. The Operator reserves the right to verify the data entered and to suspend or close the Account in the event of irregularities.

6.4. Login credentials (username and password) are strictly personal and may not be transferred to third parties. The User is responsible for all activity carried out through their Account.

6.5. In the event of loss, theft or unauthorised use of the credentials, the User must immediately notify the Operator at assistenza@homekeyitalia.it.

6.6. The User is responsible for safeguarding their login credentials and undertakes not to transfer them to third parties. Any access made using the User's credentials is presumed to have been made by the User.

6.7. The User undertakes to promptly notify the Operator of any unauthorised access or breach of the security of their Account.

Art. 7 – Identity verification and retention of documents

7.1. In order to ensure the security of the Platform, prevent fraudulent conduct and verify the truthfulness of the data provided upon registration, it is recorded that the Operator entrusts the collection and transmission of a copy of a valid identity document to an external provider (STRIPE IDENTITY).

7.2. The copy of the identity document will therefore be processed by the external provider, which will adopt the relevant safeguards in terms of personal data protection for the purpose of completing the Account verification procedure.

7.3. The verification metadata referred to in the preceding paragraph are retained by the Operator for as long as the Account is active and, after its closure, for a further period of 10 years, based on the ordinary limitation period applicable to any contractual and compensation claims, for the sole purpose of allowing the establishment, exercise or defence of a legal claim.

7.4. Refusal to provide a valid identity document, where requested, will make it impossible to complete registration, or will result in suspension of the Account.

Art. 8. Duration, withdrawal and termination

8.1. The contractual relationship starts on the date the Account is activated and is of indefinite duration, unless expressly agreed otherwise.

8.2. The User may withdraw at any time, without penalty and without giving reasons, by notifying the Operator by e-mail at assistenza@homekeyitalia.it. Withdrawal takes effect when the Operator receives the notice, without prejudice to transactions already under way.

8.3. The Operator may withdraw from the relationship on 3 days' notice, given by e-mail to the address indicated by the User upon registration.

8.4. Termination of the relationship for any reason does not affect rights and obligations that arose beforehand, including debts for accrued commissions.

Art. 9 – Order tracking and retention of transaction data

9.1. The Platform records and retains data relating to the orders and transactions it intermediates ("Tracking Data") in order to allow the proper performance of the intermediation service, provide support to the User, handle any disputes and ensure legal defence in the event of litigation.

9.2. Tracking Data include, by way of example: order identifier, date and time of the transaction, type and description of the intermediated service, identity of the parties involved, amount and payment method, order status and communications exchanged between the parties through the Platform.

9.3. Tracking Data are retained for the entire duration of the performance of the service and, after its completion, for a period of 10 years from the date the individual transaction was concluded, corresponding to the ordinary limitation period for contractual claims under Article 2946 of the Italian Civil Code, in order to allow late disputes to be handled and legal defence to be exercised.

9.4. Where a dispute, complaint or legal proceedings are commenced before the expiry of the period referred to in the preceding paragraph and are still pending upon its expiry, the relevant Tracking Data will be retained until the matter is resolved, even beyond the ten-year period.

Retention period for personal data

In accordance with the storage limitation principle (Article 5(1)(e) GDPR), personal data are retained for no longer than is necessary to achieve the purposes for which they were collected. Deletion or anonymisation procedures are built into the Platform's systems by default, pursuant to Article 25 GDPR.

The table below indicates, for each category of data, the purpose of processing, the retention period, the event from which the period runs, and the legal basis:

Once the above periods expire, data are permanently deleted or irreversibly anonymised through automated procedures activated by default (privacy by default), built into the Platform's systems pursuant to Article 25 GDPR. Deletion operates in relation to each individual item of data as its own period expires, and not in relation to aggregate periods.

All data are processed through encrypted channels and protected systems, with access limited to strictly authorised personnel only, in order to prevent unauthorised access, loss or breach (Article 5(1)(f) GDPR).

The User may at any time exercise the rights of access, rectification, erasure, restriction and portability in respect of their personal data, to the extent that those rights are not precluded by the need to retain the data for legal defence purposes under Article 17(3)(e) GDPR, by writing to: privacy@homekeyitalia.it.

HOW THE PLATFORM WORKS AND HOW THE SERVICE CONTRACT IS CONCLUDED

Art. 10 — Service request and acceptance procedure

10.1. The Client publishes a service request on the Platform, stating the subject matter of the work, the requirements and the timing required for performance, as well as the consideration they are willing to pay. Stating the consideration does not conclude the Service Contract, which is formed only pursuant to Article 10.3.

10.2. The Provider, having checked their availability and competence, makes their offer by sending a quote through the dedicated function of the Platform: a) accepting the consideration stated by the Client; or b) stating a different consideration, freely determined by the Provider. The Platform does not suggest, calculate or compare considerations.

10.3. The Service Contract is formed at the moment the Provider receives notice of the Client's acceptance of the quote, in either case under Article 10.2, and is able to access it, pursuant to Article 1326 of the Italian Civil Code. The order and the receipt are deemed to have been received when the parties to whom they are addressed are able to access them.

10.4. Upon conclusion of the Service Contract, the Platform generates and makes available to the parties, on a durable medium accessible in the Account area, a summary document containing:

  • the applicable general and specific conditions;
  • the essential characteristics of the service;
  • the fee, the means of payment and any additional costs.

Art. 11 — Nature of the Service Contract

11.1. The contractual relationship between Client and Provider is classifiable, on the basis of its subject matter, as a genuine contract for the provision of services (appalto).

11.2. The Service Contract is not subject to any written-form requirement for its validity, unless otherwise provided by law for specific types of work.

Art. 12 — Provider's obligations

12.1. The Provider undertakes to:

  • perform the service with professional diligence, in compliance with industry standards and the applicable sector rules;
  • comply with the agreed delivery/performance deadlines;
  • promptly inform the Client of any supervening circumstance that may affect performance;
  • keep their profile data on the Platform accurate and up to date.

Art. 13 — Client's obligations

13.1. The Client undertakes to:

  • provide the Provider with all the information and materials needed to perform the service;
  • pay the agreed fee;
  • cooperate with the Provider so that the work can be properly performed.

14. Use of the Platform and User's obligations

14.1. The User undertakes to use the Platform in compliance with the law, public policy, public morals and these Terms.

14.2. The User is prohibited from:

  • publishing Content that is false, misleading, defamatory, unlawful or harmful to the rights of third parties;
  • using the Platform for fraudulent, abusive or unauthorised purposes;
  • circumventing or altering the Platform's technical mechanisms;
  • contacting the counterparty directly in order to bypass the intermediation system and the related commissions;
  • publishing offers or requests for services prohibited by law or contrary to public policy.

14.3. The Provider declares and warrants that the service offered through the Platform is performed under a genuine contract for services, with autonomous organisation of the necessary means, management at their own risk and managerial authority over their own personnel, excluding any form of mere supply or unauthorised provision of labour.

14.4. The Provider assumes full responsibility for the lawfulness of the relationship with their own personnel, including social security, insurance and workplace safety aspects.

14.5. The Platform is not liable if the competent authorities find that the contract for services is not genuine; that liability rests exclusively with the Provider.

14.6. The Provider is solely responsible for the truthfulness, completeness and currency of the information relating to the services offered, including any qualifications, licences and certifications required by sector rules.

14.7. The Client acknowledges that assessing the reliability and suitability of the Provider remains their own exclusive responsibility.

15. Content published by Users

15.1. The User retains ownership of the Content published on the Platform and grants the Operator a non-exclusive, royalty-free and revocable licence to use it to the extent necessary to deliver the intermediation service.

15.2. The Operator reserves the right to remove or hide Content that breaches these Terms, the law or the rights of third parties, notifying the User concerned and stating the reasons.

15.3. The Operator is not required to monitor Content published by Users in advance, without prejudice to its right to intervene following a report or on its own initiative in the presence of manifest unlawfulness and/or the use of improper or offensive language.

16. Content moderation and service limitations

16.1. The Operator may suspend, limit or discontinue the service in respect of a User in the following cases:

  • breach of these Terms;
  • fraudulent or abusive behaviour;
  • failure to meet payment obligations;
  • a measure issued by the competent judicial or administrative authority;
  • serious technical or security reasons affecting the Platform.

16.2. Save in cases of urgency or where required by law, the Operator informs the User concerned of the reasons for the limitation or suspension with reasonable notice and gives them the opportunity to submit observations through the internal complaint-handling system referred to in Article 30.

16.3. Temporary limitations are lifted once the causes that gave rise to them cease.

Art. 17 – Intermediation fee - Account suspension

17.1. Pursuant to Article 1755 of the Italian Civil Code, the Platform is entitled to an intermediation fee from each of the Users where the Deal is concluded as a result of its involvement.

17.2. The deal is deemed concluded as soon as the offer and/or request made by one User is accepted by the other User.

17.3. The fee owed by the Client is set at 9% of the consideration for the Deal concluded.

17.4. The fee owed by the Provider is set at 9% of the consideration for the Deal concluded.

17.5. The fees referred to in the preceding paragraphs are owed independently by each User, regardless of performance by the other, subject to the Deal having been concluded as a result of the Platform's involvement.

17.6. In the event of non-payment, the Operator reserves the right to suspend the defaulting User's Account, without prejudice to its right to recover the sums due.

17.7. Invoices or receipts are made available to the User in the private area of their Account within the time limits set by law.

17.8. The fee is also owed where the Deal is concluded after use of the Platform has ceased, provided there is an adequate causal link between the intermediation activity carried out and the conclusion of the Deal.

Art. 18 – Separate technical collection of the fee and distinct intermediation commission

18.1. The Parties acknowledge that the Platform acts as an intermediary within the meaning of Article 1754 of the Italian Civil Code, carrying out the activity of putting Client and Provider in contact with each other for the purpose of concluding the deal.

18.2. The Parties acknowledge that the intermediation activity ends with the putting-in-contact and the conclusion of the deal, whereas any technical management of collection is a further, subsequent and distinct activity from intermediation, which the Platform has entrusted to another external platform named STRIPE.

18.3. Only after the deal has been concluded do both the Client and the Provider expressly give the Platform a limited mandate for the technical management of collecting and transferring the sums relating to the concluded contract.

18.4. That mandate is given solely for the purposes of performing the contract already concluded, it being understood that the Platform does not become a party to the contractual relationship between Client and Provider.

18.5. Under the mandate referred to in the preceding article, the Platform may:

a) receive from the Client the payment due to the Provider; b) retain only the amounts expressly due to the Platform as a fee for the intermediation activity and/or as consideration for the technical collection service; c) transfer the remaining balance to the Provider within 48 hours of the report sent by the Provider to the Client, provided no formal objection has been raised by the Client; d) suspend payment to the Provider where a formal objection has been raised by the Client. In that case the consideration for the work performed by the Provider will be transferred to them only once 48 hours have elapsed from the sending of the second report indicating that the corrections required by the Client have been made; e) it is understood that if the report is not sent — whether the first report or any second report following a formal objection — or if the work is not performed, whether at first instance or following the corrections required by the Client after a formal objection, the Provider will forfeit the right to payment for the agreed work and will in any event be obliged to pay the intermediation fee to the Platform, with the result that no consideration will be transferred by the Platform, as governed by Article 19 below; the payment made by the Client will be returned to them without any charges or costs.

18.6. The intermediation commission accrued under Article 1755 of the Italian Civil Code and any sums subject to technical collection are shown separately, transparently and in itemised form, so that the following always remain distinguishable:

i) the consideration under the contract between Client and Provider; ii) the commission due to the Platform; iii) any fee for the technical collection service alone.

18.7. The technical collection mandate does not confer on the Platform any power to alter the content of the deal, negotiate terms, waive rights, grant extensions or permanently represent a Party in negotiations.

18.8. The Parties declare that they were informed in advance of:

a) the Platform's role as intermediary; b) the possible subsequent and distinct technical collection mandate; c) the related fees; d) the fact that the intermediary's right to a commission arises, in any event, only if the deal is concluded as a result of its involvement.

Art. 19 – Order and payment handling - Provider's loss of the right to remuneration - Time bar on objections

19.1. The Platform handles payment of the fee for the requested service and of the intermediary's fee, through an external platform named STRIPE.

19.2. When the Provider, having made their offer to perform the work by sending the quote (accepting the consideration stated by the Client or with a different consideration, under Article 10.2), receives notice of the Client's acceptance, the Client must make payment (of the agreed consideration and of the intermediation fee), which will be handled by the external platform STRIPE.

19.3. The Provider draws up a report on the Services provided, containing: a summary of the activities carried out and any anomalies identified and/or suggested improvements. The report is sent to the Client within 24 hours of the service being provided.

19.4. It is understood that if the report is not sent, or if the work is not performed, no consideration will be paid to the Provider and the payment made by the Client will be returned to them without any charges or costs. In that case the Provider will forfeit the right to payment for the agreed work and will in any event be obliged to pay their own intermediation fee to the Platform, in addition to the penalty under Article 20 below.

19.5. The Client is entitled to verify that the service complies with the contract and with the specific content of the service request published by the Client on the HOME KEY ITALIA Platform, operated by HOME KEY ITALIA FACTORY s.r.l.

19.6. The Client may therefore raise a formal objection within the following 24 hours, running from when the report is sent/received.

19.7. The Client's checks concern exclusively:

a) the result of the service; b) compliance with the agreed timing; c) compliance with the agreed quality standards, where these can be measured according to common experience;

19.8. The Client is entitled to exercise a power of conformity, that is to say:

a) to verify that the result of the Services complies with the contract; b) to report failures or non-conformities to the Provider; c) to require compliance with the agreed quality standards;

19.9. In the event of an objection, the Client notifies it in writing (by e-mail through the Platform) to the Provider, stating:

a) the Service concerned; b) the nature of the objection; c) the deadline for correction, which may not exceed 48 hours.

19.10. The Provider shall make the necessary corrections autonomously and in accordance with their own organisation within the deadline indicated or, failing that, within 48 hours for all non-conformities, whether urgent or not.

19.11. Once the necessary corrections have been made, the Provider must send the Client a further report in order for the work to be considered performed.

19.12. If the requested corrections are not made and/or the report is not sent, the Provider forfeits the right to the fee for the requested work and will be charged the intermediation fee due to the Platform, in addition to the penalty under Article 20 below.

19.13. Conversely, if the Client raises no objection, or in any event once 48 hours have elapsed from the Provider sending the report, the work will be deemed to have been correctly performed, with the result that the Client will be considered to have forfeited the possibility of raising objections.

19.14. Payment to the Provider (net of the intermediary's commission) will be released automatically once 48 hours have elapsed from the Provider sending the final report to the Client, provided no objections exist.

19.15. In the event of an objection, after attempting to have the Provider repeat the work where possible, or to secure for the Client a full or partial refund of the consideration paid, the Client of course remains free to assert their rights in the appropriate forums.

19.16. Any disputes will be handled exclusively between Client and Provider, with no involvement whatsoever of the Platform.

Art. 20 – Penalty – Payment authorisation

20.1. If the work and/or the corrections requested by the Client are not performed and/or the report is not sent, the Provider forfeits the right to the fee for the requested work and will be charged the intermediation fee due to the Platform.

20.2. In addition to the intermediation fee due under Article 20.1 above, the Provider shall pay the Platform, as a penalty, an amount equal to the intermediation fee that the Client would have paid had the Provider not been at fault.

20.3. In the cases under Articles 17.6, 20.1 and 20.2 above, the Provider expressly authorises the Platform to collect all sums due under these Terms and Conditions, both as the intermediation fee owed by the Provider and as a penalty. To this end the Provider authorises the Platform to collect and withdraw from the balance of the Provider's Stripe account the sums due under Articles 17.6, 20.1 and 20.2. Where the balance of the account is not sufficient to cover the sums due, the Platform is authorised to set them off against any consideration for subsequent services accrued by the Provider and/or to debit directly the Provider's bank account linked to Stripe.

Art. 21 – Causal link and traceability

21.1. Evidence of the Platform's involvement includes, by way of example and without limitation: the registration of Users, the sending of contact requests, the exchange of messages, quote requests, order confirmations and any other electronic record kept in the Platform's systems.

21.2. Users authorise the retention of such data for the purpose of verifying the right to the fee, in compliance with the applicable personal data protection legislation.

Art. 22 – The Platform's information obligations

22.1. The Platform informs Users of the circumstances known to it that are relevant to assessing the Deal and that may affect its conclusion.

22.2. Save where a different and specific written mandate is given, the Platform does not carry out technical, legal, tax or solvency checks on Users or on the Deal, and assumes no liability for failing to detect circumstances that were neither known nor knowable with ordinary diligence.

Art. 23 – Limitation of the Platform's liability

23.1. The Platform is not a party to the Deal concluded between Provider and Client and is not liable for non-performance, delay or defective performance of the service covered by the Deal.

23.2. The Platform's liability remains limited to properly putting Users in contact with each other, with professional diligence.

23.3. Indirect damages, loss of profit and loss of opportunity arising from the Deal concluded between Users are excluded in all cases.

23.4. The Operator ensures the availability of the Platform with the diligence of a prudent person and undertakes to ensure continuity of service, save for scheduled maintenance or force majeure.

23.5. The Operator is not liable for damages arising from non-performance of the Service Contract by the Client or the Provider, that being an autonomous relationship between third parties.

Art. 24 — User's liability

24.1. The User is liable for all damage caused to the Operator or to third parties as a result of using the Platform in a manner not compliant with these General Conditions or with the law.

Art. 25 – Users' freedom of contract

25.1. The negotiation of the economic and contractual terms of the Deal, the decision to enter into it and the arrangements for its performance remain within the exclusive autonomy and responsibility of the Provider and the Client.

25.2. The Platform neither determines nor amends the content of the contract concluded between Users.

26. Processing of personal data

26.1. Users' personal data are processed in compliance with Regulation (EU) 2016/679 (GDPR) and the applicable national legislation, in accordance with the principles of lawfulness, fairness, transparency, minimisation and purpose limitation.

26.2. The methods, purposes and legal bases of processing are set out in detail in the Privacy Policy, available at https://homekeyitalia.it/legale/privacy and forming an integral part of these Terms.

26.3. Any consent to the processing of data for purposes not strictly necessary to perform the contract is given separately, freely, and may be withdrawn at any time as easily as it was given.

27. Cookies

27.1. The Platform uses technical and analytics cookies and, subject to the User's express consent, profiling and third-party cookies. The ways in which they are used, the types of cookies employed and instructions for managing preferences are described in the Cookie Policy, available at https://homekeyitalia.it/legale/cookie.

27.2. Consent to cookies that are not strictly necessary is obtained through a dedicated banner on first access, by a positive and unambiguous act of the User; silence, inactivity or pre-ticked boxes do not constitute consent.

28. Intellectual property

28.1. All intellectual property rights relating to the Platform (trade marks, logos, software, graphics, texts, architecture) are the exclusive property of HOME KEY ITALIA s.r.l. and of its licensee-operator HOME KEY ITALIA FACTORY s.r.l.

28.2. Reproducing, distributing, modifying or commercially exploiting these elements without the Operator's prior written authorisation is prohibited.

28.3. The User warrants that they own or are licensed to use the Content published and that it does not infringe the rights of third parties.

29. Amendments to the Terms and Conditions

29.1. The Operator reserves the right to amend these Terms at any time. Significant changes, in particular those directly affecting Users' ability to make use of the service, are notified at least 15 days in advance by e-mail and/or by notice on the Platform.

29.2. A User who does not wish to accept the changes has the right to withdraw from the relationship before they take effect, in the manner set out in Article 8.

29.3. Continuing to use the Platform after the changes take effect constitutes acceptance of them.

30. Internal complaint-handling system

30.1. A User who believes they have been treated unfairly or arbitrarily, or in breach of these Terms, may submit a complaint to the Operator by e-mail at assistenza@homekeyitalia.it.

30.2. The Operator undertakes to respond within 10 working days of receiving the complaint, setting out the assessments made and any measures taken.

30.3. The User remains free to apply to the courts or to the competent supervisory authorities.

31. Governing law and place of jurisdiction

31.1. These Terms are governed by Italian law.

31.2. The Court of Trento (TN), Italy, has jurisdiction over any dispute concerning the interpretation, performance or termination of these Terms, except where the User qualifies as a consumer, in which case jurisdiction lies with the court of the consumer's place of residence or elected domicile, pursuant to Article 33(2)(u) of the Italian Consumer Code.

32. Final provisions

32.1. The nullity or ineffectiveness of an individual clause of these Terms does not render the entire document void; the invalid clause will be replaced by the applicable statutory provision.

32.2. The Operator's failure to exercise a right provided for in these Terms does not constitute a waiver of that right.

32.3. For anything not expressly provided for, the provisions of the Italian Civil Code on contracts (Articles 1321 et seq.) and, where applicable, the Italian Consumer Code apply.

These Terms are accepted electronically on the Platform, by ticking the relevant box during registration; the Platform records the version of the text, its digital fingerprint, the account and the exact time of acceptance. Specific approval of the unfair terms under Articles 1341 and 1342 of the Italian Civil Code is given by ticking a separate box, on the dedicated document.
